1. Who We Are and What Data We Collect

Fleetwize ("we", "us", or "our") is a vehicle intelligence and fleet management platform operated under Spareworks / 234Parts Ltd, registered in Nigeria. We process data in connection with our services at fleetwize.io.

We collect the following categories of personal data:

Account data: name, email address, phone number, company or organisation name
Vehicle data: vehicle registration, make, model, year, OBD-II port data including engine fault codes, GPS location history, trip records, speed and behaviour data
Driver data: driving behaviour scores, app usage, DriverX performance data
Payment data: billing address and transaction records (we do not store raw card numbers)
Usage data: browser type, IP address, pages visited, session duration collected via standard analytics

2. How We Use Your Data

We use the personal data we collect for the following purposes:

To provide and improve the Fleetwize platform, including GPS tracking, diagnostics, and driver behaviour services
To send you account-related notifications, service alerts, and platform updates
To generate fleet reports, maintenance recommendations, and predictive maintenance alerts
To respond to enquiries and provide customer support
To comply with our legal and regulatory obligations under Nigerian law
To conduct product research and improve our AI diagnostic capabilities (using anonymised or aggregated data only)

3. Data Sharing

We do not sell your personal data. We may share data in limited circumstances:

Fleetwize Partner Garages: When a fault is flagged by our AI system and you request a garage referral, we share your vehicle's diagnostic report with the selected partner garage. You control whether a referral is made.
234Parts.com: If you request parts procurement through the Fleetwize ecosystem, relevant diagnostic data is passed to 234Parts.com to identify the correct parts. This sharing is disclosed and limited to what is necessary to fulfil your request.
Service providers: We use trusted third-party vendors (cloud hosting, analytics, communications) who process data on our behalf under strict data processing agreements.
Legal requirements: We may disclose data where required by Nigerian law, court order, or regulatory authority.

4. Data Retention

We retain personal data for as long as your account is active and for a period of three (3) years after account closure, unless a longer retention period is required by applicable law. Vehicle trip records and diagnostic data are retained for the duration of your subscription plus twelve (12) months. You may request deletion of your data at any time (see Section 5).

5. Your Rights Under NDPR

Under the Nigeria Data Protection Regulation (NDPR) 2019 and the Nigeria Data Protection Act 2023, you have the following rights:

Right of access: Request a copy of the personal data we hold about you
Right to rectification: Request correction of inaccurate or incomplete data
Right to erasure: Request deletion of your personal data (subject to legal obligations)
Right to data portability: Request your data in a structured, machine-readable format
Right to object: Object to processing of your data for specific purposes, including direct marketing
Right to withdraw consent: Where processing is based on consent, withdraw that consent at any time

6. Cookies

We use cookies and similar technologies to operate the Fleetwize platform, remember your preferences, and analyse usage. You can control cookie settings through your browser. Disabling cookies may affect platform functionality. We do not use cookies to serve third-party advertising.

Terms of Service

1. Acceptance of Terms

By accessing or using the Fleetwize platform, mobile application, or related services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Services. These terms apply to all users, including individual subscribers, fleet operators, and corporate clients.

2. Service Description

Fleetwize provides vehicle tracking, AI-powered engine diagnostics, driver behaviour monitoring, and fleet management services through OBD-II hardware and a cloud-based software platform. Services include the Fleetwize AutoX and FleetX plans, the DriverX driver app, access to the Fleetwize Ecosystem (partner garages and 234Parts.com), and Fleetwize Coach.

We reserve the right to modify, suspend, or discontinue any feature of the Services at any time, with reasonable notice where practicable.

3. Hardware Ownership and Warranty

Fleetwize OBD-II hardware supplied as part of your subscription remains the property of the subscriber upon full payment of the first-time hardware cost. Professional installation is included in the first-time cost. Hardware is warranted against manufacturing defects for twelve (12) months from the date of installation. This warranty does not cover damage caused by misuse, unauthorised modification, or vehicle accidents.

You agree not to remove, tamper with, or attempt to reverse-engineer the hardware. Removal without notice will suspend your subscription.

4. Subscription and Payment Terms

Subscriptions are annual. The first-time cost (hardware, installation, SIM, and 12 months platform access) is payable upfront. Annual renewal fees are due on the anniversary of your activation date. Failure to renew within 30 days of the renewal date may result in suspension of platform access.

All fees are in Nigerian Naira (₦) and are exclusive of applicable taxes. Volume discounts for fleets of 20+ vehicles are available on request and subject to a separate written agreement.

5. Acceptable Use

You agree to use the Services only for lawful purposes. You must not:

Use the platform to track any individual without their knowledge or consent where such tracking is prohibited by law
Attempt to access data belonging to other subscribers
Reverse-engineer, decompile, or attempt to extract source code from the platform
Use the Services to facilitate any criminal activity, including vehicle theft or fraud
Circumvent or disable any security or access controls within the platform

6. Limitation of Liability

To the maximum extent permitted by Nigerian law, Fleetwize and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data loss, or business interruption, arising out of or in connection with your use of the Services.

Our total aggregate liability for any claim arising out of or related to these Terms shall not exceed the total fees paid by you to Fleetwize in the twelve (12) months preceding the claim. The AI diagnostic service is advisory in nature — maintenance and repair decisions remain the responsibility of the vehicle owner or fleet operator.

7. Governing Law

These Terms of Service are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

8. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a prominent notice on the platform at least 14 days before the changes take effect. Continued use of the Services after the effective date constitutes your acceptance of the revised Terms.
